These Terms of Service (“Terms”) govern your access to and use of the WedVeil website, applications, services, features, communications tools, directories, professional workspaces, feeds, journals, job boards, profiles, and other functionality made available by WedVeil (collectively, the “Platform”).

WedVeil is operated by 5 Thousand Frames Films LLC, a Maryland limited liability company, doing business as WedVeil (“WedVeil,” “we,” “us,” or “our”).

By creating an account, accessing, browsing, or using the Platform, you agree to these Terms and our Privacy Policy and any additional policies expressly incorporated into these Terms.

If you do not agree to these Terms, do not use the Platform.

1. PURPOSE AND NATURE OF WEDVEIL

WedVeil is an independent online information, discovery, communication, publishing, and technology platform serving the wedding industry.

The Platform is designed primarily to:

• help couples discover wedding professionals and wedding-related information;

• allow wedding professionals to create and maintain professional profiles and portfolios;

• provide wedding professionals with digital workspace and organizational tools;

• allow users to discover and communicate with one another;

• provide informational listings and opportunities through Jobs;

• allow eligible users to publish photographs, videos, articles, Real Weddings, and other content;

• provide Feed, Wall, Journal, portfolio, messaging, engagement, discovery, ranking, calendar, project-management, and similar platform features; and

• provide subscription-based access to additional digital features.

WedVeil is an information and technology platform only.

Nothing in these Terms, on the Platform, or in any WedVeil feature should be interpreted as making WedVeil a party to any professional relationship or transaction between users.

2. WEDVEIL IS NOT A WEDDING SERVICE PROVIDER

WedVeil does not itself provide wedding photography, videography, planning, coordination, venue services, catering, entertainment, floral design, beauty services, transportation, rentals, officiating, or other wedding-related professional services through the Platform.

Wedding professionals appearing on WedVeil are independent individuals or businesses.

Unless expressly identified as an employee of WedVeil for an internal WedVeil function, a vendor listed on the Platform is not an employee, contractor, agent, representative, partner, franchisee, or joint venturer of WedVeil.

The presence of a vendor on WedVeil does not create any agency, employment, partnership, fiduciary, brokerage, or similar relationship between WedVeil and that vendor.

3. WEDVEIL IS NOT A PARTY TO USER-VENDOR AGREEMENTS

WedVeil does not participate in contracts or commercial arrangements between couples, vendors, or other Platform users.

Any decision to contact, hire, engage, collaborate with, or otherwise work with another user is made independently by the users involved.

Any agreement for professional services exists solely between the applicable users.

WedVeil is not a party to and does not negotiate, prepare, approve, execute, enforce, manage, or guarantee:

• service contracts;

• booking agreements;

• retainers;

• deposits;

• invoices;

• payment arrangements;

• refunds;

• cancellations;

• deliverables;

• service dates;

• pricing agreements;

• employment agreements;

• independent contractor agreements; or

• other agreements between users.

Users are solely responsible for establishing the terms of their relationships with one another outside the Platform.

4. WEDVEIL DOES NOT PROCESS VENDOR SERVICE PAYMENTS

WedVeil does not process, receive, hold, escrow, transfer, distribute, guarantee, or facilitate payments made by a couple or other customer to a vendor for wedding-related services.

WedVeil does not collect payment card details, bank account information, payment credentials, deposits, retainers, or other payment information on behalf of vendors for the purchase of vendor services.

Users must arrange any payments for professional services independently and outside WedVeil.

WedVeil does not receive commissions or transaction fees based on the value of contracts entered into between couples and vendors unless the Platform is materially changed in the future and these Terms are expressly updated accordingly.

5. PLATFORM SUBSCRIPTIONS ARE DIFFERENT FROM VENDOR TRANSACTIONS

WedVeil may charge vendors subscription fees for access to enhanced Platform features.

These subscription payments are payments to WedVeil solely for access to WedVeil's digital Platform functionality.

Depending on the applicable plan, subscription features may include:

• additional portfolio capacity;

• additional video capacity;

• expanded Feed publishing limits;

• additional Jobs functionality;

• additional locations;

• enhanced profile functionality;

• communication features;

• project-management tools;

• Real Weddings publishing capabilities;

• additional visibility eligibility;

• additional professional workspace functionality; and

• other digital features described on the applicable plan page.

A WedVeil subscription is not payment for customers, leads, bookings, contracts, revenue, referrals, or guaranteed business results.

6. NO GUARANTEE OF LEADS OR BUSINESS RESULTS

WedVeil does not guarantee that any vendor, whether using a free or paid account, will receive:

• inquiries;

• messages;

• leads;

• profile views;

• followers;

• likes;

• comments;

• Jobs responses;

• referrals;

• bookings;

• contracts;

• customers;

• revenue; or

• any particular business result.

Subscription fees purchase access to Platform features only.

A lack of inquiries, bookings, views, engagement, or revenue does not mean that WedVeil failed to provide the subscription service, provided that the applicable Platform features were made reasonably available.

7. NO GUARANTEE OR CERTIFICATION OF VENDORS

WedVeil may review vendor profiles before allowing them to appear publicly.

Such review is a Platform moderation measure only.

Approval, publication, ranking, visibility, verification of an email address, or continued presence of a vendor on WedVeil does not constitute certification, endorsement, recommendation, warranty, or guarantee by WedVeil.

Unless WedVeil expressly states otherwise for a specific verification program, WedVeil does not independently guarantee or continuously verify a vendor's:

• identity;

• professional experience;

• portfolio ownership;

• licensing;

• permits;

• insurance;

• education;

• qualifications;

• professional certifications;

• availability;

• pricing;

• business status;

• financial condition;

• criminal history;

• reliability;

• professionalism;

• safety;

• service quality; or

• ability to perform promised services.

Users are responsible for conducting their own due diligence before hiring or working with another user.

8. USER ELIGIBILITY

You must be legally capable of entering into these Terms to create and maintain an account.

Users under the age required to enter into binding agreements in their jurisdiction may use WedVeil only where legally permitted and, where required, with authorization from a parent or legal guardian.

You may not use WedVeil if applicable law prohibits you from using the Platform.

9. ACCOUNT TYPES

WedVeil may provide different account types, including:

• Couple accounts;

• Vendor accounts;

• Administrator accounts;

• Super Administrator accounts; and

• other account types introduced by WedVeil.

Features and permissions vary by account type and subscription plan.

WedVeil may modify the features associated with account types from time to time.

10. ACCOUNT INFORMATION

You agree to provide accurate and reasonably current information when creating and maintaining your account.

You may not:

• impersonate another person;

• falsely represent a business;

• create an account using another person's identity without authorization;

• misrepresent your professional qualifications;

• create deceptive duplicate accounts;

• use accounts to manipulate rankings or engagement; or

• provide materially false information to users.

You are responsible for activity occurring through your account.

You must protect your login credentials and promptly notify WedVeil if you believe your account has been compromised.

11. VENDOR PROFILES

Vendor profiles are professional informational pages created by vendors.

Vendors are responsible for information appearing in their profiles, including descriptions, locations, portfolio materials, contact information, social links, professional information, and other representations.

Vendors must ensure that their information is not materially false, deceptive, misleading, unlawful, or infringing.

WedVeil may review profile changes before publication.

Moderation does not transfer responsibility for the information from the vendor to WedVeil.

12. PROFESSIONAL WORKSPACE

WedVeil may provide vendors with private or account-based workspace functionality, including projects, calendars, planning tools, notes, vendor collaboration features, and similar organizational functionality.

These features are provided as convenience and organizational tools.

WedVeil is not responsible for professional deadlines, scheduling decisions, missed appointments, project performance, contractual obligations, or business losses resulting from a user's reliance on workspace information.

Users remain responsible for maintaining appropriate independent records and backups for their businesses.

13. PROJECTS AND CALENDAR

Projects and calendar entries created by vendors are private organizational information unless the vendor intentionally shares them through a Platform feature.

The existence of a calendar entry or project does not represent availability or unavailability to couples or other users unless WedVeil expressly provides such a feature.

WedVeil does not guarantee the accuracy or preservation of calendar or project information.

14. JOBS

WedVeil may provide a Jobs section allowing eligible users to publish or respond to professional opportunities.

Jobs is an informational listing and communication feature only.

WedVeil is not an employer, employment agency, staffing company, recruiter, labor contractor, or party to any working relationship resulting from a Job listing.

Users are responsible for independently determining:

• scope of work;

• compensation;

• working conditions;

• legal classification;

• tax obligations;

• insurance;

• licensing;

• contracts;

• payment;

• scheduling; and

• other terms.

WedVeil does not guarantee that a Job listing is legitimate, available, accurate, suitable, or profitable.

Fraudulent, deceptive, discriminatory where prohibited by law, illegal, exploitative, or misleading Job listings are prohibited.

15. USER-TO-USER COMMUNICATIONS

WedVeil may provide messaging and group communication features.

Messages represent communications between users, not communications from WedVeil.

Users must not use messaging features for:

• spam;

• harassment;

• threats;

• fraud;

• phishing;

• unlawful solicitation;

• malware distribution;

• impersonation;

• abusive behavior; or

• other prohibited conduct.

WedVeil may investigate reported abuse and take reasonable moderation action consistent with applicable law and our Privacy Policy.

16. FEED AND WALL

Eligible users may publish photographs, short videos, captions, descriptions, and other materials through the Feed or their Wall.

Authors remain responsible for their content.

Publication on WedVeil does not mean that WedVeil endorses, verifies, or approves the statements or services represented in the content.

WedVeil may establish posting limits based on account type or subscription plan.

17. JOURNAL

WedVeil may operate an editorial Journal containing articles, inspiration, Real Weddings, educational content, interviews, reviews, editorial materials, and other wedding-related information.

Journal content is provided for general informational and inspirational purposes.

Unless expressly stated otherwise, Journal content does not constitute legal, financial, medical, tax, insurance, or other regulated professional advice.

18. REAL WEDDINGS

Eligible vendors may submit Real Weddings for potential publication.

Submission does not guarantee publication.

WedVeil may review, edit for formatting, approve, reject, unpublish, or remove Real Wedding submissions.

The submitting vendor represents that they have sufficient rights and permissions to provide all submitted photographs, videos, descriptions, credits, names, and other materials for the intended publication.

19. USER CONTENT

“User Content” includes photographs, videos, text, comments, portfolio materials, profile information, Jobs, Real Weddings, messages where applicable, and other materials submitted to WedVeil by users.

Users retain ownership of their User Content subject to the rights of third parties.

By making User Content available through WedVeil, you grant WedVeil a non-exclusive, worldwide, royalty-free license to host, store, reproduce as technically necessary, resize, compress, transcode, format, display, and distribute that content solely as reasonably necessary to operate, secure, improve, and present the Platform and the features through which you chose to publish the content.

This license does not transfer ownership of your User Content to WedVeil.

Where separate permission is legally required to use User Content in unrelated advertising or promotional campaigns, WedVeil may request such permission separately.

20. USER REPRESENTATIONS REGARDING CONTENT

By uploading or publishing content, you represent that:

1. you own the content or have sufficient rights to use and publish it;

2. publication does not knowingly violate another person's copyright, trademark, privacy, publicity, or other rights;

3. you have obtained permissions reasonably required for your intended publication;

4. the content does not violate applicable law; and

5. information presented as factual is not knowingly materially false or deceptive.

You remain responsible for obtaining releases, licenses, permissions, or other rights required for your professional use of content.

21. COPYRIGHT

Users may not upload content that infringes copyrights belonging to others.

This includes photographs, films, videos, music, illustrations, articles, graphics, and other protected works.

The fact that content appears elsewhere online does not mean that it is free to use.

WedVeil may remove or restrict access to content reasonably believed to infringe intellectual property rights.

22. DMCA POLICY

WedVeil intends to respond to valid copyright infringement notices in accordance with applicable United States copyright law, including the Digital Millennium Copyright Act where applicable.

Copyright owners or authorized representatives may submit notices of claimed infringement to WedVeil's designated copyright contact.

WedVeil may:

• remove or disable access to reported material;

• notify the affected user;

• process valid counter-notifications;

• restore material where legally appropriate; and

• terminate repeat infringers in appropriate circumstances.

Detailed procedures and designated-agent information may be provided in a separate Copyright & DMCA Policy incorporated into these Terms.

23. THIRD-PARTY RIGHTS

Users must respect third-party:

• copyrights;

• trademarks;

• publicity rights;

• privacy rights;

• contractual rights;

• confidential information; and

• other proprietary rights.

WedVeil's ability to host content does not constitute a determination that the content is lawful.

24. LIKES, COMMENTS AND ENGAGEMENT

WedVeil may allow registered users to like, comment on, save, share within the Platform, or otherwise interact with content.

Engagement indicators are informational Platform signals.

Users may not artificially manipulate engagement using:

• bots;

• automated accounts;

• purchased likes;

• fake accounts;

• coordinated fraudulent activity;

• scripts;

• engagement farms; or

• other artificial methods.

WedVeil may remove artificial engagement and take enforcement action against accounts involved in manipulation.

25. REVIEWS AND USER OPINIONS

Where WedVeil provides review, rating, recommendation, or similar functionality, reviews must reflect genuine opinions or experiences and may not be fabricated or manipulated.

WedVeil does not guarantee the accuracy of user reviews.

WedVeil may moderate reviews for violations of Platform rules but will not require a review to be positive as a condition of publication.

Users may not submit fake reviews, purchase fake reviews, impersonate customers, or manipulate reviews to unfairly harm competitors.

26. RANKINGS AND DISCOVERY

WedVeil may use algorithms and Platform rules to determine search order, recommendations, discovery, visibility, or ranking.

Factors may include:

• subscription tier;

• location;

• category;

• profile completeness;

• activity;

• engagement;

• recent Platform participation;

• content performance;

• relevance;

• moderation status; and

• other Platform signals.

The specific weighting of factors may change.

WedVeil does not guarantee any user a permanent or specific position in search results or directories.

Ranking is a Platform discovery mechanism and should not be interpreted as a professional certification or guarantee of quality.

27. SUBSCRIPTION PLANS

WedVeil may offer Free and paid subscription plans.

Current features, prices, billing periods, and limitations will be displayed before purchase.

Paid plans provide access to specified Platform functionality during the applicable subscription period.

WedVeil may introduce, modify, rename, discontinue, or restructure plans, subject to applicable law and existing subscription commitments.

28. AUTOMATIC RENEWAL

Where a subscription automatically renews, WedVeil will disclose the applicable renewal terms before purchase as required by applicable law.

Users must affirmatively agree to applicable subscription terms.

Where required, WedVeil will provide renewal notices and accessible cancellation mechanisms.

Cancellation stops future renewals but does not necessarily provide a refund for a period already purchased except where required by law or expressly stated by WedVeil.

29. SUBSCRIPTION PAYMENTS

Payments collected by WedVeil relate only to WedVeil subscription plans or other expressly identified WedVeil digital services.

Payment processing may be performed by an independent third-party payment processor.

WedVeil does not need to receive or store complete payment card information when payments are handled by the applicable payment processor.

Use of a payment processor may also be subject to that provider's terms and privacy practices.

30. REFUNDS

Unless otherwise stated at purchase or required by applicable law, subscription fees are generally non-refundable once the applicable subscription period begins.

Nothing in these Terms limits statutory refund or cancellation rights that cannot legally be waived.

WedVeil may issue discretionary credits or refunds without creating an obligation to provide similar credits or refunds in the future.

31. CHANGES TO SUBSCRIPTIONS

WedVeil may change subscription pricing or features prospectively.

Material pricing changes applicable to renewal periods will be communicated as required by applicable law.

A pricing change will not retroactively increase the price of an already-paid subscription period.

32. PROHIBITED CONDUCT

Users may not:

• violate applicable law;

• commit fraud;

• impersonate others;

• harass or threaten users;

• publish illegal content;

• upload infringing material;

• distribute malware;

• conduct phishing;

• scrape the Platform contrary to these Terms;

• circumvent technical restrictions;

• attempt unauthorized access;

• interfere with Platform
